Terms of Service

These Terms of Service govern your access to and use of CivPass, including the guest waitlist, restaurant console, and related services. By using CivPass, you agree to these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of CivPass, including the guest waitlist, restaurant console, and related websites and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a restaurant or other organization, you represent that you have authority to bind that organization to these Terms.

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.

2. What CivPass Does

CivPass is a technology platform that helps restaurants offer a digital waitlist and manage their queue. Restaurants publish a queue page, guests join from a QR code or link, and restaurant staff manage seating from the console.

CivPass is not a restaurant and does not prepare food, set wait times, accept reservations, or guarantee seating. Each restaurant controls its own queue, seating policy, and service.

CivPass may be offered free during a preview period. If we introduce fees, we will provide notice and describe the applicable charges, billing, renewal, and cancellation terms before they apply.

3. Guest Use and Restaurant Relationship

When you join a restaurant queue, provide accurate information and use the Service only for your own dining party. Do not create duplicate, misleading, or disruptive queue entries.

Wait times and queue positions are estimates. They can change because of party sizes, table turnover, restaurant operations, or other conditions. A place in the queue is not a reservation or a guarantee of seating.

The restaurant may call, skip, or remove a party under its own policies. If you can no longer attend, leave the queue or tell the restaurant so the table can be offered to another guest.

4. Restaurant Operator Accounts and Acceptable Use

Restaurant operators must provide accurate business information, keep account credentials secure, and ensure that staff use the console only as authorized. You are responsible for activity under your account.

You agree not to:

  • use the Service for unlawful, fraudulent, or harassing activity;
  • attempt to access another restaurant's account, data, or systems;
  • scrape, copy, reverse engineer, or interfere with the Service;
  • upload malicious code or content that infringes another person's rights; or
  • use the Service in a way that disrupts other guests, restaurants, or the platform.

We may suspend or limit access if we reasonably believe these Terms or applicable law have been violated.

5. Notifications and Service Availability

Table-ready alerts, including browser notifications, sound, vibration, email, or messaging, are optional conveniences. Delivery depends on your device, browser, network, and third-party providers, and is not guaranteed. Do not rely on CivPass for emergency or time-critical communications.

We may change, suspend, or discontinue part of the Service, and we do not guarantee uninterrupted or error-free availability. Scheduled or emergency maintenance may interrupt access.

6. Intellectual Property and Privacy

CivPass and its licensors own the Service, including its software, design, brand, and content, excluding restaurant names, marks, and content supplied by restaurants. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose.

By submitting restaurant names, marks, descriptions, or other content to the Service, you grant CivPass a limited, non-exclusive, royalty-free license to host, reproduce, and display that content solely to operate and provide the Service. You represent that you have the rights to grant this license.

Do not use CivPass names, logos, or marks without written permission. Restaurant names and marks belong to their respective owners.

Our Privacy Policy describes how we collect and use personal information.

7. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by Philippine law, CivPass disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

CivPass is not responsible for a restaurant's acts or omissions, including seating decisions, wait times, service quality, or refusal of service. To the maximum extent permitted by law, CivPass will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Changes, Termination, Governing Law, and Contact

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date. Continued use of the Service after an update means you accept the revised Terms.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive termination will continue to apply.

These Terms are governed by the laws of the Republic of the Philippines. Any dispute will be subject to the exclusive jurisdiction of the competent courts of the Philippines, unless applicable law requires otherwise.
